Terms of Service

By downloading the Helix app or accessing helixclinical.org, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms form a binding agreement between you and Helix Clinical LLC., a Michigan limited liability company.

You must be at least 13 years old to use the Services. By using the Services, you represent that you meet this requirement.

Helix provides:

• Helix app (iOS) — a wellness tracking tool for researching peptide compounds, logging protocols, calculating reconstitution, and getting AI-powered guidance.

• Helix Clinical — a web platform for wellness and functional medicine practices to manage patients, protocols, appointments, and lab records.

The Services are for informational and organizational purposes only. They are not a medical device, electronic health record (EHR), or healthcare provider.

Nothing in the Services constitutes medical advice, diagnosis, or treatment. All compound information, dosing guidance, AI responses, and protocol templates are for informational and educational purposes only.

Always consult a licensed healthcare provider before starting, modifying, or stopping any wellness protocol, medication, or supplement. Helix Clinical LLC. is not liable for any health decisions made based on information provided through the Services.

You are responsible for keeping your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@helixclinical.org if you suspect unauthorized access.

You may not share your account or allow others to use it. Helix Clinical practice accounts may add staff members through the built-in role management system.

Free tier. The Helix app offers a free tier with access to the compound library, protocol tracking, vial inventory, reconstitution calculator, and limited AI messages.

Pro subscription. The Helix Pro subscription is offered on a monthly or annual basis. Subscriptions are purchased through the Apple App Store and managed by RevenueCat. Billing, refunds, and cancellations are governed by Apple's terms and your App Store account settings.

Helix Clinical. Practice platform pricing is custom. Contact hello@helixclinical.org for details. No long-term contracts are required.

Prices are subject to change with reasonable notice.

You agree not to:

• Use the Services for any unlawful purpose

• Attempt to reverse-engineer, scrape, or copy any part of the Services

• Upload malicious code or interfere with the Services

• Impersonate another person or entity

• Use the Services to provide clinical advice if you are not a licensed healthcare provider

• Circumvent any access controls or authentication systems

If you use Helix Clinical as a practice, you are solely responsible for:

• Obtaining all required consents from patients before entering their data

• Complying with applicable healthcare privacy laws in your jurisdiction

• The accuracy of patient information you enter

• How your staff uses the platform

Helix Clinical LLC. is a technology provider, not a covered entity or business associate under HIPAA. Contact us at hello@helixclinical.org to discuss your practice's specific compliance requirements before storing any protected health information.

All content in the Services — including compound library entries, UI design, software, and branding — is owned by Helix Clinical LLC. or its licensors. You may not reproduce, distribute, or create derivative works without written permission.

You retain ownership of the data you enter into the Services (your protocols, logs, and notes). By using the Services, you grant us a limited license to store and process that data to provide the Services to you.

The Services integrate with third-party providers including Supabase (data storage), RevenueCat (subscriptions), Resend (email), and Apple (App Store). Your use of these integrations is also subject to their respective terms of service. We are not responsible for the actions or policies of these third parties.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY MICHIGAN LAW, HELIX CLINICAL LLC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING DAMAGES RELATED TO HEALTH DECISIONS, DATA LOSS, OR SERVICE INTERRUPTIONS.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify and hold harmless Helix Clinical LLC. and its members, officers, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. You may delete your account at any time by contacting hello@helixclinical.org. Termination does not entitle you to a refund of any prepaid subscription fees.

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Michigan. You consent to personal jurisdiction in Michigan.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms at helixclinical.org/terms and updating the "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
